Terms of Service

These Terms of Service ("Terms") form a legally binding agreement between you ("you", "your", "User") and IntelliInfra AI Pty Ltd (ABN: 88 688 066 182, "IntelliInfra AI", "we", "us", "our").
By creating an account, accessing IntelliAssist, or clicking "I agree" at account registration, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
Important:
If you do not agree to these Terms, do not create an account or use IntelliAssist. If you are accepting on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.
1. The Service
1.1 What IntelliAssist Does
IntelliAssist is an AI-powered productivity platform that connects to your business tools and executes tasks on your behalf. The service includes:
- Natural language interface for managing email, calendar, CRM, and other connected tools
- 91+ built-in AI skills across productivity, writing, research, development, business, and communication categories
- Connections to 63+ third-party integrations including Gmail, HubSpot, Salesforce, Xero, MYOB, Slack, and others
- Skill Builder for creating custom AI workflows
- Desktop application for macOS (and Windows, when available)
- Team and organisation features (Teams and Enterprise plans)
1.2 Core Principle: Approval Before Execution
IntelliAssist does not execute any action in a connected service without your explicit approval. Every draft email, calendar event, CRM update, Slack message, or other output is presented to you for review before IntelliAssist acts on it. This is a core architectural feature, not a setting.
1.3 Beta and Preview Features
Some features may be marked as "beta" or "preview". These features are provided as-is, may change or be discontinued, and are excluded from any uptime commitments in your plan.
2. Accounts
2.1 Eligibility
You must be at least 18 years old and capable of forming a binding contract to create an account. IntelliAssist is intended for professional and business use.
2.2 Account Security
- You are responsible for maintaining the confidentiality of your account credentials
- You are responsible for all activity that occurs under your account
- You must notify us immediately at security@intelli-assist.ai if you suspect unauthorised access
- We are not liable for losses arising from unauthorised account access that results from your failure to protect your credentials
2.3 One Account Per Person
Each account is for one named individual. Sharing accounts between multiple people is not permitted unless you are on a Teams or Enterprise plan with explicitly authorised seat sharing.
3. Subscription Plans and Billing
3.1 Pricing Tiers

All prices are in Australian Dollars (AUD) and exclude GST unless stated.
3.2 Trial Period
The 14-day free trial provides full access to all features. No credit card is required to start a trial. At the end of the trial, your account is downgraded to read-only until you select a paid plan.
3.3 Billing and Payment
- Payments are processed by Stripe. We do not store your payment card details.
- Monthly subscriptions are billed on the same date each month
- Annual subscriptions are billed on the anniversary of your subscription start date
- You authorise us to charge your payment method on each billing date
- If payment fails, we will notify you and your account will be suspended after 7 days without payment
3.4 Token Usage and Overage
Tokens are consumed by AI processing within IntelliAssist skills. Token consumption varies by skill complexity and the amount of data processed. You can view your current token usage in Settings. Overage charges are calculated at the end of each billing period and charged to your payment method on file.
3.5 Cancellation and Refunds
- You may cancel your subscription at any time from Settings
- Cancellation takes effect at the end of your current billing period — you retain access until then
- We do not provide refunds for partial billing periods
- For annual subscriptions, if you cancel within 14 days of your annual renewal date and have not used more than 10% of your annual token allocation, you may request a pro-rated refund by emailing billing@intelli-assist.ai
3.6 Price Changes
We reserve the right to change pricing. We will provide at least 30 days' notice of any price increase via email, and the new pricing will take effect at your next subscription renewal after the notice period.
4. Acceptable Use
You agree not to use IntelliAssist to:
- Send spam, bulk unsolicited messages, or abuse any messaging platform or email service
- Violate any applicable law or regulation, including privacy laws, data protection laws, and anti-spam legislation (including Australia's Spam Act 2003)
- Access, collect, or harvest data from third-party services beyond what you are authorised to access
- Resell or sublicense access to IntelliAssist to third parties
- Attempt to reverse-engineer, decompile, or extract source code from IntelliAssist
- Attempt to circumvent rate limits, approval workflows, or other security controls
- Use IntelliAssist in a way that could damage, disable, or impair the service or servers
- Introduce malware, viruses, or other harmful code via file uploads or integrations
- Impersonate another person or entity
- Process data you are not authorised to process under your employment or client agreements
We reserve the right to suspend or terminate accounts that violate these terms without notice in cases of serious or repeated violations.
5. AI-Specific Terms
The following clauses specifically address the AI nature of IntelliAssist. Please read these carefully.
5.1 — Action Approval Requirement
IntelliAssist requires your explicit approval before executing any action in a connected service. By approving an action in IntelliAssist, you are directly instructing IntelliAssist to perform that action and accepting responsibility for the consequences. IntelliInfra AI accepts no liability for actions you have approved.
5.2 — AI Output Accuracy Disclaimer
AI-generated content, suggestions, drafts, summaries, analyses, and recommendations are provided for informational and productivity purposes only. They may contain errors, omissions, outdated information, or inaccuracies. You are responsible for reviewing all AI-generated outputs before relying on or acting upon them. IntelliAssist outputs are not professional legal, financial, medical, or regulatory advice.
5.3 — No AI Training on Your Data
IntelliAssist does not use your personal data, email content, calendar events, CRM data, uploaded files, or integration data to train, fine-tune, or improve AI models. Anonymised, aggregated usage metrics (such as which skill categories are most frequently invoked) may be used to improve service reliability and prioritise development features.
5.4 — Hybrid AI Routing
IntelliAssist includes a sensitivity classifier that evaluates each processing request. Data classified as sensitive (including health information, detailed financial records, and certain personal data) is routed to Ollama, which runs entirely on your local device. Non-sensitive data may be processed by cloud AI services (Anthropic Claude via OpenRouter). You can view the routing decision for any request in the IntelliAssist audit log.
5.5 — Integration Permissions and Authorisation
By connecting a third-party service to IntelliAssist, you grant IntelliAssist permission to access, read, create, modify, and delete data within that service as directed by you through the approval workflow. You confirm that you are authorised to grant IntelliAssist this access. You may revoke this authorisation at any time by disconnecting the integration from Settings. IntelliAssist is not responsible for changes to third-party services that affect integration functionality.
5.6 — Audit Trail
IntelliAssist maintains a cryptographic audit log of all skill executions and approved actions. Log entries are signed with Ed25519 and cannot be altered or deleted without detection. Audit logs are retained for 90 days on standard plans and are configurable on Enterprise plans. You may export your audit log at any time from Settings.
6. Data Ownership and Intellectual Property
6.1 Your Data
You retain ownership of all data you upload, connect, or process through IntelliAssist ("Your Data"). By using IntelliAssist, you grant us a limited, non-exclusive licence to process Your Data solely to provide the service to you. We do not claim any ownership over Your Data.
6.2 Our Platform
IntelliInfra AI owns all intellectual property in IntelliAssist, Hitchcock, and associated products, including source code, AI models trained on non-user data, documentation, and the IntelliAssist and IntelliInfra AI branding. Nothing in these Terms transfers any ownership of our IP to you.
6.3 Your Outputs
Content you generate using IntelliAssist — such as drafted emails, blog posts, reports, or analyses — belongs to you. You are responsible for ensuring that use of AI-generated content complies with applicable laws and the terms of any downstream platforms where you publish it.
6.4 Feedback
If you provide feedback, suggestions, or ideas about IntelliAssist, you grant us an irrevocable, royalty-free licence to use that feedback without compensation or attribution to you.
7. Third-Party Integrations
IntelliAssist connects to third-party services on your behalf. We are not responsible for:
- The availability, reliability, or functionality of third-party services
- Changes by third-party providers that break or alter integration functionality
- The terms, privacy practices, or data handling of third-party services you connect
- Errors in data returned by third-party services that affect skill outputs
Your use of connected third-party services is also governed by those providers' terms of service and privacy policies.
8. Confidentiality
Both parties agree to keep confidential any non-public information disclosed in the course of using or providing IntelliAssist that is designated as confidential or that a reasonable person would understand to be confidential. This does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
9. Limitation of Liability
Please read this section carefully. It limits our liability to you.
9.1 Exclusion of Consequential Loss
To the maximum extent permitted by Australian Consumer Law and applicable law, IntelliInfra AI is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, loss of business, or reputational harm, even if we have been advised of the possibility of such damages.
9.2 Cap on Liability
Our total aggregate liability to you for any claims arising out of or related to these Terms or IntelliAssist (whether in contract, tort, or otherwise) is limited to the total fees paid by you to IntelliInfra AI in the 12 months preceding the event giving rise to the claim. If you are on a free trial, our liability is capped at AUD $100.
9.3 No Exclusion for Gross Negligence or Fraud
Nothing in these Terms excludes liability for gross negligence, wilful misconduct, fraud, death or personal injury caused by our negligence, or any other liability that cannot be excluded by law under the Australian Consumer Law.
9.4 AI-Specific Limitation
IntelliInfra AI is not liable for losses arising from:
- AI-generated outputs that you acted upon without adequate human review
- Actions you approved in IntelliAssist that had unintended consequences
- Integration data that was inaccurate or incomplete at the time of processing
10. Indemnification
You agree to indemnify, defend, and hold harmless IntelliInfra AI, its officers, directors, employees, and contractors from any claims, damages, losses, costs, and expenses (including legal fees) arising from:
- Your use of IntelliAssist in violation of these Terms
- Your use of IntelliAssist in violation of applicable laws or third-party rights
- Data you process through IntelliAssist for which you lack appropriate authorisation
- Actions you approve through IntelliAssist that result in harm to third parties
11. Service Availability
We aim to provide IntelliAssist with high availability but do not guarantee uninterrupted service. Scheduled maintenance will be communicated with advance notice. We are not liable for downtime caused by third-party services, force majeure events, or circumstances beyond our reasonable control.
Enterprise plans include specific uptime commitments and SLA terms defined in a separate Enterprise Agreement.
12. Termination
12.1 By You
You may cancel your subscription and close your account at any time from Settings. Upon account deletion, your data will be purged within 30 days, except where retention is required by law.
12.2 By Us
We may suspend or terminate your account immediately if:
- You materially breach these Terms and fail to cure the breach within 7 days of notice
- You engage in serious, fraudulent, or abusive conduct
- We are required to do so by law
- Continuing to provide the service would expose us to legal or reputational harm
We will provide advance notice of termination where legally required and practically possible. Upon termination by us without cause, we will provide a pro-rated refund of prepaid fees for the unused portion of your subscription.
13. Governing Law and Disputes
These Terms are governed by the laws of Queensland, Australia. You agree to submit to the exclusive jurisdiction of the courts of Queensland for any dispute arising from these Terms or your use of IntelliAssist, except where mandatory consumer protection laws in your jurisdiction require otherwise.
13.1 Dispute Resolution Process
Before commencing legal proceedings, you agree to first contact us at legal@intelli-assist.ai to attempt to resolve the dispute informally. If the dispute is not resolved within 30 days, either party may proceed to formal legal proceedings.
14. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will:
- Update the "Last updated" date at the top of this page
- Send an email notification to all registered users
- Provide at least 30 days' notice before changes take effect for existing subscribers
Your continued use of IntelliAssist after the effective date of the updated Terms constitutes acceptance. If you do not agree to the updated Terms, you must cancel your subscription before the effective date.
15. General
- Entire agreement: These Terms, together with our Privacy Policy and any Enterprise Agreement, constitute the entire agreement between you and IntelliInfra AI regarding IntelliAssist
- Severability: If any provision is found unenforceable, the remaining provisions continue in full effect
- No waiver: Failure to enforce any provision does not constitute a waiver of our right to enforce it in the future
- Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights in connection with a merger, acquisition, or sale of all or substantially all of our assets
- Force majeure: Neither party is liable for delays or failures caused by events beyond their reasonable control
